MEMBERSHIP AGREEMENT 

1. Parties

a) This CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi Membership Agreement (“Agreement”) is entered into between the owner of the website www.zelglobal.com, located at Bağyurdu Yeni Mahalle, Ovayolu Küme Evleri No:78/A-1 Kemalpaşa-İZMİR, and the internet user who is a member of the website www.zelglobal.com (“MEMBER”) on {date}.

2. Subject of the Agreement

The subject of this Agreement is to determine the terms and conditions under which the MEMBER may use and access the website www.zelglobal.com owned by CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi.

3. Rights and Obligations of the Parties

3.1. The MEMBER agrees and undertakes to comply with all legal regulations and not to violate said regulations while using the www.zelglobal.com website. Otherwise, the MEMBER will be solely and exclusively responsible for all legal and criminal liabilities that may arise.
3.2. The MEMBER may not engage in any activities or actions on the www.zelglobal.com website that prevent or hinder others from using the services (spam, viruses, Trojan horses, etc.).
3.3. The MEMBER may not use the www.zelglobal.com website in any way that disrupts public order, violates general morality, disturbs or harasses others, infringes on the intellectual and copyright rights of others, or for any purpose that is contrary to the law.
3.4. The opinions, thoughts, and expressions stated and written by MEMBERS on the www.zelglobal.com website are exclusively the personal opinions and comments of the MEMBERS themselves, and the MEMBERS are solely responsible for the consequences of these opinions and comments. These views and thoughts have no connection or affiliation with CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi has no responsibility for any damages that third parties or institutions may suffer due to the opinions and thoughts expressed by the MEMBER, or for any damages that the MEMBER may suffer due to the opinions and thoughts expressed by third parties or institutions.
3.5. The MEMBER declares and undertakes that the personal and other information provided while becoming a MEMBER on the website www.zelglobal.com is accurate and that they will compensate CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi for all damages incurred due to the inaccuracy of this information, immediately and in full.
3.6. The right to use the password obtained by the MEMBER from the CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi website belongs exclusively to the MEMBER. The MEMBER may not give this password to any third party. All legal and criminal responsibility regarding the use of the password belongs to the MEMBER.
3.7. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi will not be held responsible for the unauthorized access of MEMBER data or for any damage that may occur to MEMBER software and data. The MEMBER hereby agrees not to claim compensation from CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi for any damage that may be incurred as a result of using the www.zelglobal.com website.
3.8. The MEMBER agrees not to access or use the information and software of other internet users without authorization. Otherwise, the MEMBER shall be solely responsible for all legal and criminal liabilities arising therefrom.
3.9. Any MEMBER who violates one or more of the clauses in this Agreement shall be liable for all damages arising therefrom and shall hold CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi harmless from and indemnify against all damages, lawsuits, claims, and demands arising therefrom.
3.10. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi reserves the right to unilaterally suspend or terminate a MEMBER's membership and delete all data, documents, and files belonging to the MEMBER at any time without assuming any liability.
3.11. www.zelglobal.com All intellectual property rights relating to the website design and software, as well as the textual and visual content of the products, belong to CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi, and these cannot be used by the MEMBER without the written permission of CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi.
3.12. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi may collect certain information for the purpose of improving and developing the www.zelglobal.com website and/or within the framework of legal regulations, such as the name of the Internet service provider used to access the site and the Internet Protocol (IP) address, the date and time of access to the site, the pages accessed while on the site, and the Internet address of the website that provides direct access to the site.
3.13. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi has the right to contact the MEMBER via letter, email, SMS, telephone call and other means for communication, marketing, advertising, promotion, notification and other purposes, using the address, email address, landline and mobile phone numbers and other contact information written by the MEMBER in the registration form on the site or mobile application or subsequently updated by the MEMBER. By accepting this agreement, the MEMBER acknowledges and declares that, unless a written notice to the contrary is given, CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi may engage in the aforementioned communication activities directed towards them.
3.14. The MEMBER declares and accepts that, within the scope of current and/or future applications, they allow CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi and CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi to send them information and announcements regarding product and service promotions, advertisements, campaigns, advantages, surveys, and other customer satisfaction practices. The MEMBER declares and accepts that they allow CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi to collect, use, and archive their personal and shopping information, and shopping and/or consumer behavior information, which they have provided in the past and/or will provide in the future, for the purposes mentioned above. Unless the MEMBER notifies otherwise, they declare and accept that they allow the collection, use, and archiving of data by CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi even after their membership ends. The MEMBER acknowledges and declares that they will not make any claims and will not hold CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi responsible for any direct and/or indirect, material and/or moral, negative and/or positive damages whatsoever resulting from the collection, sharing, use, archiving, and access to the aforementioned information. If the MEMBER wishes to change their data sharing preferences, they can submit this request to CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi's customer service call centers.
3.15. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi may disclose the MEMBER's personal information to third parties (a) if required by applicable laws or regulations or a court order or administrative order, (b) in the situations specified in Article 3.13, and (c) with the MEMBER's consent.
3.16. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi has taken measures within its available means to ensure that its website is free from viruses and similar malicious software. However, for ultimate security, the user must provide their own virus protection system and ensure the necessary protection. In this context, by accessing the CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi website, the MEMBER is deemed to have accepted responsibility for all errors that may occur in their software and operating systems, and for all direct or indirect consequences thereof.
3.17. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi reserves the right to change the content, design, and software of the site at any time, to modify, suspend, or terminate any service provided to users, and to delete user information and data registered on the website at any time.
3.18. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi may update, modify, or terminate the terms of this Agreement at any time without prior notice and/or warning. Every updated, modified, or terminated provision will be effective for all MEMBERS from the date of publication.
3.19. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi has the right, pursuant to this Agreement, to send informational emails to the email addresses registered with it and informational SMS messages to the mobile phones of its MEMBERS. By approving this Agreement, the MEMBER shall be deemed to have consented to the sending of informational emails to their email address and informational SMS messages to their mobile phone. If the MEMBER wishes to stop receiving emails and/or SMS messages, they can cancel the email and/or SMS sending process by submitting this request to CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi Customer Service. The provisions of Article 3.13 remain in effect.

4. Termination of the Agreement Either party may terminate this Agreement at any time by giving unilateral notice to the other party.

5. Resolution of Disputes

This agreement shall remain in effect until the MEMBER cancels their membership or until their membership is canceled by CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi. CNG Cengiz Tedarik Dış Ticaret Anonim Şirketi may unilaterally terminate this agreement by canceling the MEMBER's membership if the MEMBER violates any provision of this membership agreement.

6. Resolution of Disputes

The Istanbul Central Courts and Enforcement Offices shall have jurisdiction over all disputes related to or arising from this Agreement.

7. Entry into force

The MEMBER's registration is completed upon the MEMBER's reading and acceptance of all the terms and conditions of this Agreement. This Agreement is concluded and enters into force at the moment the MEMBER becomes a MEMBER.
